Terms of Use

The Service is intended for use by businesses, employers, contractors, subcontractors, project owners, authorized representatives, and workers participating in construction, industrial, commercial, or related workforce management activities.

Users must be at least eighteen (18) years of age or otherwise authorized by their employer or sponsoring organization to access and use the Service.

By accessing or using the Service, you represent and warrant that you have the legal authority to enter into these Terms of Use on behalf of yourself and, where applicable, the company, employer, contractor, subcontractor, or organization you represent.

Company administrators are responsible for authorizing, managing, monitoring, and removing user access within their organization. The subscribing company assumes responsibility for all activities conducted under its accounts and by individuals granted access to the Service.

SafetyOrient reserves the right to refuse, restrict, suspend, or terminate access to any user or organization at its sole discretion where necessary to protect the security, integrity, operation, reputation, or lawful use of the Service.

SafetyOrient is a software platform for workforce orientation, credential management, and recordkeeping. SafetyOrient is not a safety consulting service, competent person service, training provider, regulatory compliance provider, or workplace safety manager.

The responsibility for OSHA compliance, workplace safety, worker supervision, and regulatory adherence remains solely with the employer, contractor, superintendent, and project management team utilizing the Service.

By accessing or using the SafetyOrient platform ("Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you may not use the Service. These terms apply to all users including company administrators, project managers, superintendents, safety managers, and workers.

SafetyOrient provides a digital safety orientation platform for the construction industry. The Service includes worker orientation workflows, credential and certification tracking, digital badge generation, project management tools, and administrative dashboards.

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree not to share your account access with unauthorized individuals.
• Company administrators are responsible for managing their users and ensuring appropriate access levels.
• Each company account is isolated — you may only access your own company's data, projects, and worker records.
• SafetyOrient reserves the right to suspend or terminate accounts that violate these terms.

You agree to use the Service only for lawful purposes. You may not:

• Upload false, misleading, or fraudulent worker credentials or certifications
• Attempt to access another company's data or accounts
• Use the platform to store or transmit illegal content
• Interfere with or disrupt the platform's infrastructure or security
• Attempt to reverse-engineer or copy any part of the Service

Users may upload files such as OSHA cards, driver's licenses, trade licenses, and certifications. Uploaded files must be in approved formats (PDF, JPG, PNG) and must be authentic documents. SafetyOrient is not responsible for verifying the authenticity of uploaded documents — that responsibility lies with the subscribing company.

Access to the full SafetyOrient platform requires an active subscription. Subscription fees are billed as agreed at the time of sign-up. SafetyOrient reserves the right to modify pricing with reasonable notice.

Invoicing:

• Invoices are issued upon project creation or on the first (1st) of each calendar month, whichever occurs first for that billing cycle.
• Payment is due within fifteen (15) days of the invoice date.
• Failure to remit payment within the due period may result in suspension or restricted access to your account and data.
• A grace period of seven (7) days beyond the due date is provided. After the grace period, a late fee of 1.5% of the outstanding balance will be applied and will continue to accrue monthly until the balance is paid in full.

Cancellation:

• Either party may cancel a subscription by providing thirty (30) days' written notice prior to the desired cancellation date.
• Cancellation does not relieve the subscribing company of any outstanding payment obligations incurred prior to the effective cancellation date.

Project Completion & Data Export:

• Upon marking a project as complete, the subscribing company may download a full export of that project's data, including worker records, orientation records, credential files, and associated documentation.
• Billing for completed projects ceases upon project closure and successful data export delivery.
• Once a data export has been downloaded, the subscribing company assumes full responsibility for the storage, security, retention, regulatory compliance, and confidentiality of that exported data. SafetyOrient bears no liability for any loss, breach, misuse, or regulatory violation arising from the customer's handling of data following download.
• Upon project completion and data export, the project will be permanently closed within the platform. All QR code access, orientation links, and worker portal access associated with that project will be immediately disabled.
• Reactivation of a closed project is not available to company administrators or users. Only a SafetyOrient super administrator may reactivate a closed project, and such reactivation may be subject to additional fees or terms. To request reactivation, the subscribing company must contact SafetyOrient directly.

All invoices issued by SafetyOrient to subscribing companies shall include the following information:

• Invoice Number — a unique identifier assigned to each invoice for tracking and reference purposes.
• SafetyOrient Contact Details — SafetyOrient's name, mailing address, and support contact (support@safetyorient.com).
• Customer's Company Name — the full legal name of the subscribing company as registered in the platform.
• Project Name & Project Number — the associated project name and system-assigned project number for the billed period or activity.
• Line Item Details — an itemized breakdown including subscription plan type (e.g., Starter, Professional) and any applicable add-ons or one-time fees.
• Subtotal — the sum of all line items before taxes.
• Taxes — applicable taxes calculated on the subtotal, itemized by type where required by law.
• Total Amount Due — the final amount owed inclusive of subtotal and taxes.
• Payment Due Date — the date by which payment must be received, calculated as fifteen (15) days from the invoice date.
• Late Fee Terms — a reminder that a grace period of seven (7) days applies after the due date, after which a late fee of 1.5% of the outstanding balance will be applied monthly until paid in full.
• Payment Instructions — where applicable, accepted payment methods and remittance details will be included on the invoice.

This invoice format is consistent across all accounts and billing cycles. Subscribing companies should retain copies of all invoices for their own accounting and recordkeeping purposes.

To the fullest extent permitted by applicable law, SafetyOrient's total cumulative liability arising out of or relating to the Service, these Terms of Use, or any claim of any kind, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed the total amount paid by the subscribing company to SafetyOrient for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall SafetyOrient be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of data, business interruption, project delays, regulatory penalties, fines, insurance claims, reputational harm, or other economic losses, even if SafetyOrient has been advised of the possibility of such damages.

The limitations set forth in this section shall apply regardless of the failure of any essential purpose of any remedy and shall survive termination of the Service and these Terms of Use.

SafetyOrient provides this platform as a tool to assist with safety orientation and compliance tracking. We do not guarantee that use of the platform fulfills all legal or regulatory requirements in your jurisdiction. You are responsible for ensuring your safety program meets all applicable OSHA and local regulations.

To the maximum extent permitted by law, SafetyOrient shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data, business interruption, or personal injury.

All worker records, project data, and uploaded documents entered into SafetyOrient remain the property of the subscribing company. SafetyOrient acts as a data processor and does not claim ownership of your data. Upon account termination, you may request an export of your data within 30 days.

These Terms of Use and any dispute, claim, controversy, or legal proceeding arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.

The parties agree to make a good-faith effort to resolve any dispute through informal negotiations before initiating legal proceedings.

If a dispute cannot be resolved through informal negotiations, the parties agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located within the Commonwealth of Pennsylvania, and each party irrevocably submits to the jurisdiction of such courts.

To the fullest extent permitted by law, users waive any objection to venue, jurisdiction, or forum based on inconvenience or any similar doctrine.

Nothing in this section shall prevent SafetyOrient from seeking injunctive relief, equitable relief, or other remedies necessary to protect its intellectual property, confidential information, platform security, or business interests.

SafetyOrient may retain account information, worker records, project records, uploaded documents, orientation records, audit logs, and other data for operational, legal, security, backup, compliance, and business continuity purposes.

Upon cancellation, non-renewal, suspension, or termination of a subscription, access to the Service may be restricted or discontinued. The subscribing company may request an export of its available data within thirty (30) days following account termination, subject to any outstanding financial obligations and applicable legal requirements.

Following the applicable retention period, SafetyOrient reserves the right to permanently delete account data, worker records, uploaded documents, project information, and other content associated with the terminated account without further notice.

SafetyOrient may suspend or terminate access to the Service immediately, with or without notice, for non-payment, violation of these Terms, fraudulent activity, misuse of the Service, unauthorized access attempts, security concerns, or any activity that may compromise the integrity, security, or operation of the platform.

Termination of an account shall not relieve any party of obligations, liabilities, payment responsibilities, indemnification requirements, confidentiality obligations, or other provisions intended to survive termination under these Terms of Use.

SafetyOrient may periodically perform maintenance, updates, upgrades, repairs, modifications, security enhancements, and other changes to the Service that may temporarily affect the availability or functionality of the platform.

While SafetyOrient strives to maintain reliable access to the Service, uninterrupted availability is not guaranteed. Access to the Service may be suspended, restricted, delayed, or interrupted due to scheduled maintenance, emergency maintenance, system upgrades, internet service disruptions, hosting provider issues, equipment failures, cybersecurity incidents, acts of government, natural disasters, or other circumstances beyond SafetyOrient's reasonable control.

SafetyOrient reserves the right to modify, replace, suspend, discontinue, or remove any feature, functionality, integration, report, workflow, or portion of the Service at any time, with or without notice.

SafetyOrient shall not be liable for any loss of revenue, loss of profits, business interruption, project delays, data loss, loss of productivity, regulatory consequences, or other damages arising from the temporary or permanent unavailability of the Service.

SafetyOrient is a software platform designed to assist companies with worker onboarding, safety orientations, training documentation, credential management, recordkeeping, and administrative compliance tracking. SafetyOrient is not a safety consultant, regulatory agency, compliance auditor, legal advisor, or professional engineering service.

Use of the Service does not guarantee compliance with any federal, state, provincial, local, or international laws, regulations, standards, codes, owner requirements, contractual obligations, insurance requirements, labor agreements, or project-specific safety requirements, including but not limited to OSHA regulations and state occupational safety and health requirements.

The subscribing company, employer, contractor, subcontractor, project owner, and their authorized representatives remain solely responsible for:

• (a) Maintaining a safe workplace;
• (b) Providing required worker training and supervision;
• (c) Verifying worker qualifications, certifications, and licenses;
• (d) Implementing and enforcing safety policies and procedures;
• (e) Conducting inspections, hazard assessments, and corrective actions;
• (f) Maintaining compliance with all applicable laws, regulations, permits, and contractual requirements; and
• (g) Ensuring the accuracy and completeness of all records maintained within the Service.

SafetyOrient shall not be responsible or liable for any workplace injury, illness, fatality, property damage, regulatory citation, penalty, fine, compliance violation, project delay, insurance claim, or legal action arising from the use of, reliance upon, or inability to use the Service.

The SafetyOrient platform, including but not limited to its software, source code, design, layout, workflows, orientation processes, forms, reports, digital badge systems, databases, graphics, logos, trademarks, service marks, content, documentation, and all related technology, are and shall remain the exclusive property of SafetyOrient and its licensors.

No portion of the Service may be copied, reproduced, modified, distributed, published, displayed, transmitted, sold, licensed, reverse-engineered, decompiled, disassembled, or otherwise exploited without the prior written consent of SafetyOrient.

Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for their internal business operations and in accordance with these Terms of Use.

Nothing contained within the Service shall be construed as granting any ownership rights, intellectual property rights, or licenses to users except as expressly provided in these Terms.

Any feedback, suggestions, recommendations, enhancement requests, or ideas submitted by users regarding the Service may be used by SafetyOrient without restriction or obligation to provide compensation, attribution, or ownership rights to the submitting party.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, SafetyOrient disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and uninterrupted operation.

SafetyOrient does not warrant that:

• (a) The Service will be uninterrupted, secure, timely, or error-free;
• (b) The Service will meet your specific business, regulatory, compliance, or operational requirements;
• (c) Any defects, errors, or omissions will be corrected;
• (d) Data stored within the Service will never be lost, corrupted, delayed, or inaccessible; or
• (e) The Service or its servers will be free from viruses, malware, cyberattacks, or other harmful components.

SafetyOrient does not guarantee that use of the Service will satisfy OSHA requirements, state safety regulations, owner requirements, insurance requirements, contractual obligations, or any other legal or regulatory compliance requirements. Users remain solely responsible for ensuring compliance with all applicable laws, regulations, standards, and project-specific requirements.

Your use of the Service is at your sole risk.

You agree to defend, indemnify, and hold harmless SafetyOrient, its owners, officers, directors, employees, affiliates, contractors, agents, successors, and assigns from and against any and all claims, demands, actions, lawsuits, investigations, damages, losses, liabilities, penalties, fines, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• (a) Your use of the Service;
• (b) Any information, records, documents, credentials, certifications, licenses, photographs, or other content uploaded, submitted, stored, or transmitted through the Service;
• (c) Your violation of these Terms of Use;
• (d) Your violation of any applicable law, regulation, industry standard, contractual obligation, or safety requirement;
• (e) Any workplace injury, illness, fatality, property damage, regulatory citation, compliance violation, or employment-related dispute connected to information maintained within the Service; or
• (f) Any claim that uploaded content infringes upon or violates the rights of a third party.

SafetyOrient reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such event, you agree to cooperate fully with SafetyOrient in the defense of such matter.

SafetyOrient implements commercially reasonable administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of information stored within the Service. These measures may include encrypted data transmission, secure authentication controls, access restrictions, system monitoring, and data backup procedures.

While SafetyOrient takes reasonable steps to protect user information, no method of electronic transmission, internet communication, or data storage can be guaranteed to be completely secure. As a result, SafetyOrient does not warrant or guarantee that unauthorized access, data breaches, cyberattacks, system failures, or other security incidents will never occur.

Users are responsible for maintaining the confidentiality of their login credentials and for promptly notifying SafetyOrient of any suspected unauthorized access to their account. SafetyOrient shall not be liable for losses, damages, or claims arising from unauthorized access resulting from compromised user credentials, user negligence, or circumstances beyond its reasonable control.

By using the Service, users acknowledge and accept the inherent security risks associated with electronic data transmission and cloud-based data storage.

By accessing and using the Service, users consent to the use of electronic records, electronic acknowledgments, and electronic signatures in connection with worker orientations, safety training, questionnaires, forms, certifications, badges, project documentation, and other records maintained within the platform.

Users acknowledge that any electronic signature, checkbox acknowledgment, digital acceptance, form submission, document upload, or other electronic action performed through the Service shall be deemed the legal equivalent of a handwritten signature to the fullest extent permitted by applicable law.

Users are responsible for ensuring that all information submitted through the Service is accurate, complete, and truthful. SafetyOrient may retain electronic records, timestamps, audit logs, IP addresses, and related system data as evidence of submissions and acknowledgments completed through the platform.

By using the Service, users waive any objection to the legal validity or enforceability of electronic records and signatures created through the platform solely on the basis that they are maintained in electronic form.

SafetyOrient provides a platform for the storage, management, and tracking of worker credentials, certifications, licenses, identification documents, training records, and related compliance documentation. SafetyOrient does not verify, validate, audit, or guarantee the authenticity, accuracy, validity, expiration status, or regulatory compliance of any uploaded document or information submitted by users.

The responsibility for reviewing, verifying, approving, monitoring, and maintaining worker qualifications, certifications, licenses, training requirements, and regulatory compliance remains solely with the subscribing company, employer, contractor, subcontractor, or project owner utilizing the Service.

SafetyOrient shall not be liable for any claims, penalties, fines, losses, damages, injuries, incidents, regulatory actions, or compliance violations resulting from inaccurate, fraudulent, expired, incomplete, altered, or otherwise invalid documents uploaded to the platform.

SafetyOrient shall not be liable for any delay, interruption, failure, or inability to perform any obligation under these Terms of Use when such delay, interruption, failure, or inability results from causes beyond its reasonable control.

Such causes may include, but are not limited to, acts of God, natural disasters, severe weather events, floods, fires, earthquakes, pandemics, epidemics, public health emergencies, war, terrorism, civil unrest, labor disputes, strikes, government actions, utility failures, internet outages, telecommunications failures, hosting provider failures, cloud service interruptions, cybersecurity incidents, ransomware attacks, data center failures, power outages, or other unforeseen events.

During any Force Majeure event, SafetyOrient's obligations shall be suspended for the duration of the event and for a reasonable period thereafter required to restore normal operations.

SafetyOrient shall not be responsible for any losses, damages, delays, business interruptions, regulatory consequences, project impacts, or other liabilities resulting directly or indirectly from a Force Majeure event.

SafetyOrient acknowledges that subscribing companies may upload, store, and manage confidential business information through the Service, including but not limited to worker records, employee information, project data, safety documentation, training records, certifications, licenses, reports, forms, and other operational information.

Except as required to operate, maintain, secure, improve, or support the Service, SafetyOrient will not intentionally disclose a company's confidential information to unauthorized third parties without the company's consent, unless required by law, court order, legal process, regulatory requirement, or governmental authority.

Each subscribing company retains responsibility for determining which users are granted access to its information and for managing user permissions within its account. SafetyOrient shall not be responsible for disclosures resulting from permissions granted by the subscribing company or from unauthorized access caused by compromised user credentials.

Users agree not to access, attempt to access, copy, download, disclose, distribute, or use any information belonging to another company or account without proper authorization.

SafetyOrient reserves the right to access, review, and process data solely as necessary to provide technical support, maintain platform functionality, investigate security concerns, comply with legal obligations, enforce these Terms of Use, or protect the rights, property, and safety of SafetyOrient and its users.

Nothing in these Terms shall be interpreted as transferring ownership of company data, worker records, project information, or uploaded documents to SafetyOrient. Ownership of such information remains with the subscribing company, subject to the rights and permissions necessary for SafetyOrient to provide the Service.

SafetyOrient stores information and documents submitted by users and subscribing companies. SafetyOrient does not independently verify the authenticity, validity, accuracy, or current status of certifications, licenses, identification documents, or training records unless expressly stated otherwise.

Company administrators are responsible for maintaining the confidentiality of account credentials, assigning appropriate user permissions, and promptly notifying SafetyOrient of any suspected unauthorized access.

SafetyOrient is not responsible for losses resulting from compromised passwords, credential sharing, or unauthorized access caused by customer negligence.

While SafetyOrient implements commercially reasonable security measures designed to protect information, no method of electronic transmission, storage, or internet-based service can be guaranteed to be completely secure. SafetyOrient does not warrant that unauthorized access, hacking, data loss, service interruptions, or other security incidents will never occur.

Users acknowledge and accept the inherent risks associated with electronic data transmission and storage.

SafetyOrient may update these Terms of Use from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised terms. We will notify active subscribers of material changes via email.
